A GmbH sale normally transfers membership interests in the existing entity. Sellers should prepare the quota structure, articles, member records, financial and tax information, contracts and liabilities, then coordinate the formal transfer and any management changes required for the specific company.
Reconcile each member's quota, nominal value, contributions, beneficial ownership, pledges and options. Review the articles and agreements for consent, pre-emption or other transfer conditions.
