Selling without a broker keeps preparation, buyer screening, confidentiality, negotiation and coordination in the owner's hands. It works best when responsibilities, documents and decision criteria are set before the first enquiry arrives, while specialist advice is used for the issues that genuinely require it.
Name who prepares the profile, answers enquiries, controls documents, verifies buyers, coordinates meetings and records decisions. A sale stalls quickly when all tasks depend on an owner who is also running the business.
Reconcile annual accounts, current figures, contracts, staff, assets, liabilities, tax matters and permits. Use one controlled version of each document so different buyers do not receive conflicting information.
Check identity, acquisition rationale, experience, role, timing and plausible financing. Set a specific next step after each stage instead of sharing the full dossier in response to a first message.
A broker-free sale does not mean a professional-advice-free sale. Valuation, tax structure, employment matters, regulated activities and contract terms may justify targeted legal, tax or financial support.
You manage the offer, enquiries, buyer qualification, confidentiality, document access, meetings and commercial negotiation unless you appoint someone else for a defined part.
Ask what the buyer wants to acquire, relevant experience, intended role, timetable and how the purchase would be financed. Verify identity before disclosing the company.
A lawyer is not required for every early conversation, but tailored advice is prudent for transaction structure, confidentiality, warranties, employment, approvals and the final contract.
Use a question log, a controlled data room and the same financial definitions. Record what each party has received and correct material information for all active buyers.
